We act for clients on merger and acquisition transactions, such as share and assets purchases, amalgamations and arrangements. This includes all due diligence matters, as well as the negotiating and drafting of the transaction and financing documents required to complete such transactions.

We advise and prepare loan documentation and security, as well as in structuring commercial leases of equipment and other property, and also in advising on equity financing, by way of private placement and prospectus offerings, as well as on franchises, barter systems, vehicle dealership arrangements, the assignment of loan portfolios and related security, conditional sale, agency, distribution and factoring arrangements.
